This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require publishing the rules and regulations, privacy policy, and Terms of Use for access to or usage of the Swastha Sarthi website, including the related mobile sites and applications — MediAid, MediFlow, MediWell, and MediLabs (collectively, the "Platform").

The Platform is owned and operated by Swastha Sarthi Pvt Ltd ("we", "us", "our"). Your use of the Platform and its services and tools is governed by these terms and conditions ("Terms of Use") and the applicable policies incorporated herein by reference. By using the Platform, you contract with Swastha Sarthi Pvt Ltd, and these Terms of Use (including the policies) constitute your binding obligations.

For the purpose of these Terms of Use, "you", "your", or "user" means any natural or legal person who has agreed to become a user on the Platform.

ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THE TERMS OF USE CAREFULLY BEFORE PROCEEDING.

1. Eligibility and Account Registration

  • Eligibility: You must be at least 18 years old and legally capable of entering into a binding contract. Professional users must be authorized to represent a licensed pharmacy, clinic/hospital, or diagnostic lab in India. By using the Platform, you confirm compliance with all applicable laws, including the Drugs and Cosmetics Act, 1940, the Pharmacy Act, 1948, and the Clinical Establishments Act, where applicable.
  • Registration: To use the Platform, you must create an account by providing accurate information such as your name, mobile number, and role-specific details and verification documents (e.g., license, GSTIN). You are responsible for maintaining the confidentiality of your account credentials and for notifying us of any unauthorized use.
  • Onboarding Process: Professional onboarding (pharmacy, doctor, or lab) requires verification (e.g., address proof, license, personal details). We reserve the right to approve or reject onboarding at our discretion.
  • Information accuracy: You agree to provide true, accurate, and complete information during and after registration, and you are responsible for all activity carried out through your registered account.

2. Use of the Platform

  • Permitted Use: Each application is intended for its respective purpose — health management and ordering (MediAid), pharmacy operations and order fulfillment (MediFlow), clinical and consultation management (MediWell), and diagnostic test management (MediLabs). You may use the Platform only for lawful purposes.
  • Ecosystem Integrations: The applications integrate with one another (e.g., a scanned prescription syncing across patient, pharmacy, doctor, and lab). You consent to data sharing within the ecosystem for these features, subject to our Privacy Policy.
  • License Grant: We grant you a limited, non-exclusive, non-transferable license to use the Platform for your personal or internal business purposes. You may not reverse-engineer, decompile, or modify the applications.
  • User Content: Any data you upload (e.g., prescriptions, invoices, reports, inventory or test catalogs) must comply with applicable law. You grant us a license to use this content to provide and improve Platform functionality.
  • Third-party links: The Platform may contain links to third-party websites or services governed by their own terms and policies, provided for your convenience.

3. Subscriptions and Payments

  • Plans: Certain features are offered on free and paid subscription plans. The features, pricing, and billing cycle for each plan are displayed within the relevant application before purchase.
  • Payment Terms: Paid subscriptions are billed through integrated payment methods (e.g., UPI, credit/debit card). Where you opt in to a recurring plan, you authorize recurring charges. Payments are non-refundable except as set out in our Refund Policy or as required by law.
  • Taxes: Prices are exclusive of applicable taxes (e.g., GST), for which you are responsible.
  • Cancellation: You can cancel a subscription anytime via in-app settings; access continues until the end of the current billing period.

4. User Obligations

  • Accuracy: Provide accurate information and data. You are responsible for errors (e.g., incorrect stock levels, test details, or health information).
  • Compliance: Ensure your activities comply with Indian law (e.g., no sale of scheduled drugs without a valid prescription). We are not liable for misuse.
  • Prohibited Conduct: Do not:
    • Use the Platform for illegal activities (e.g., counterfeit medicines).
    • Share account credentials.
    • Upload malicious content or viruses.
    • Interfere with the Platform's functionality.
    • Collect other users' data without consent.
  • Data Handling: When processing another person's data (e.g., patient prescriptions), comply with privacy laws and obtain consent for sharing within the ecosystem.
  • Indemnity: You shall indemnify and hold harmless Swastha Sarthi Pvt Ltd, its affiliates, group companies, and their respective officers, directors, agents, and employees from any claim, demand, or action (including reasonable attorney's fees) arising out of your breach of these Terms of Use, the Privacy Policy, or other policies, or your violation of any law or the rights of a third party.

5. Intellectual Property

  • Ownership: The Platform, including software, AI algorithms (e.g., prescription scanning and medicine matching), designs, and trademarks, is owned by us or our licensors. You acquire no rights beyond the license granted.
  • User-Generated Content: You retain ownership of the data you upload but grant us a worldwide, royalty-free license to use it for Platform operations, analytics, and improvements (anonymized where possible).
  • Feedback: Any suggestions you provide become our property without compensation.

6. Disclaimer and Limitation of Liability

  • No Medical Advice: The Platform is a technology service and does not provide medical advice, diagnosis, or treatment. Always rely on a qualified healthcare professional for medical decisions.
  • Disclaimer: The Platform is provided "as is" without warranties of any kind as to accuracy, timeliness, performance, completeness, or suitability for any particular purpose. Use is at your own risk.
  • Limitation of Liability: To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by you in the six (6) months preceding the claim. We are not liable for indirect or consequential damages (e.g., lost profits, data loss).

7. Termination

  • By You: You may delete your account via in-app settings (see our Account Deletion Policy).
  • By Us: We may suspend or terminate your access for violations (e.g., prohibited conduct or non-payment), with notice where possible.
  • Post-Termination: Data may be retained for legal reasons; access ends immediately.
  • Force Majeure: We shall not be liable for any failure to perform an obligation under these Terms where performance is prevented or delayed by a force majeure event.

8. Governing Law and Dispute Resolution

  • Governing Law: These Terms, and any dispute or claim relating to them or their enforceability, are governed by and construed in accordance with the laws of India.
  • Dispute Resolution: Disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, seated in India. The courts of India shall have exclusive jurisdiction over matters not subject to arbitration.

9. Changes to Terms

We may update these Terms to reflect changes to the Platform or legal requirements. Notifications will be sent via the Platform or email. Continued use constitutes acceptance. It is your responsibility to periodically review these Terms.

10. Miscellaneous

  • Severability: If any provision is held invalid, the remaining provisions continue in effect.
  • Entire Agreement: These Terms constitute the entire agreement between you and Swastha Sarthi Pvt Ltd regarding the Platform.
  • Third-party policies: Where the Platform links to third-party services, you will be governed by their terms and policies.

11. UPI Payments & Digital Transactions

We support UPI-based payment flows and integrations within the Platform.

  • Direct Payments: Where applicable, the Platform can generate dynamic QR codes (amount + order ID + merchant UPI ID) so customers can pay directly using any UPI app. Funds are settled directly to the merchant's account.
  • Webhooks & Reconciliation: Payment providers may send success/failure notifications for immediate reconciliation.
  • Fees: Merchant Discount Rate (MDR), settlement timelines, and API behaviour are determined by the payment provider and applicable regulations.
  • Note: Your use of any UPI or payment integration is subject to the onboarding, compliance, and terms of the respective payment provider.
